These are some of the largest U.S. offshore developments and \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql will see FMC Technologies equipment operating in water depths over 7,500 feet, \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql temperatures of 350 degrees Fahrenheit and pressures up to 15,000 psi. \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql Subsea sales and inbound orders were strong globally last year, including sales \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql to and inbound orders from Shell, Kerr McGee and BP in the Gulf of Mexico; \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql TotalFinaElf and Exxon Mobil offshore West Africa; Statoil and Norsk Hydro in \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql the North Sea; and Petrobras in Latin America. This was a 59 percent increase. FMC FoodTech is the \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql number one supplier of food processing equipment in North America and one of the \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql top 10 worldwide. This business is characterized by industry-leading positions \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql in freezing, sterilizing, citrus extractors and breading and cooking systems. We \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql have strong customer relationships with large, multinational food companies such \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql as Heinz, Nestle, Tyson and Unilever. \par\pard\plain\fs16 \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql FMC FoodTech's sales and profits decreased in 2001, due to global economic \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql weakness and the food industry's lower capital expenditures. In response to \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql these declines, we have lowered our cost structures. As the economy rebounds, \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql our streamlined structure should enable us to benefit from increased \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql efficiencies, leading to improved margins for this business. \par\pard\plain\fs16 \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql Our other non-energy business, FMC Airport Systems, experienced special \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql challenges last year, but performed well nevertheless. The increases were \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql primarily due to increased Halvorsen loader sales and greater volumes and \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql margins for ground support equipment. \par\pard\plain\fs16 \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql This progress could have been greater but the events of September 11th had \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql a severe effect on our Airport Systems' business . . . and will continue to \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql impact us in 2002. Several U.S. airlines reduced service by almost 20 percent, \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql and passenger airlines froze capital spending and delayed shipments of our \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql loaders, deicers and push-back tractors. In response, we cancelled orders with \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql vendors, froze capital spending and made significant personnel reductions. \par\pard\plain\fs16 \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql Airport Systems did, however, benefit from our alliance with Federal \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql Express, a strong position with UPS, and a ramp-up of Halvorsen loader orders \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql for the U.S. Air Force. We now expect to produce over 100 Halvorsen loaders for \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql the Air Force in 2002 - that compares with 19 delivered last year. But these \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql pluses will not offset the negatives. We expect 2002 Airport Systems sales to be \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql lower than 2001. \par\pard\plain\fs16 \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql All in all, our inaugural year was strong. In spite \par\pard\plain\fs16 \par\pard\plain\fs16 \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql 6 \par\pard\plain\fs16 \par\pard\plain\fs16 \page \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql of substantial challenges for our FoodTech and Airport Systems businesses, FMC \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql Technologies achieved sequential growth in income per share (before one-time \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql charges) in each quarter of 2001. Our safety performance took a slight dip last year from a total \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql recordable incident rate of 1.24 in 2000 to 1.45 in 2001 (incidents per 100 full \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql time employees). We believe we have strong safety systems in place at all of our \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql facilities and are committed to continuous improvement. This chart depicts \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql our order flow over the last several years. As you can see our orders fell off \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql in 1999, and did not recover until 2001. Overall, in 2001, total orders were up \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql 36 percent, driven by Energy Production \par\pard\plain\fs16 \par\pard\plain\fs16 \par\pard\plain\fs16 \page \par\pard\plain\fs16 \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql Systems, which was up 90 percent. \par\pard\plain\fs16 \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql As you would expect, the increase in inbound led to an increase in our \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql order backlog in 2001. The first quarter of 2002 has shown a continuing backlog \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql growth to over $1 billion. This backlog gives us a strong outlook for 2002 and \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql it leads us to estimate earnings in the $0.95 per diluted share range, an \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql increase of approximately 15%. \par\pard\plain\fs16 \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql This slide illustrates our net income and earnings per share in 2001 before \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql non-recurring items and on a pro forma basis. The pro forma basis adjusts \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql interest expense in 2000 and the first half of 2001 - prior to the formation of \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql FMC Technologies - to a level consistent with the initial debt structure of the \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql Company. It shows net income of $0.97 in 2000 and $0.82 in 2001. \par\pard\plain\fs16 \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql As you can see the Energy Systems business was about level with 2000 while \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql our FoodTech business was down $14M due to lower sales and earnings in nearly \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql every area \par\pard\plain\fs16 \par\pard\plain\fs16 \page \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql except citrus. We made operating improvements during 2001 that we \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql believe are beginning to bear fruit and will position us well when this segment \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql rebounds. \par\pard\plain\fs16 \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql Despite September 11th, our Airport Systems business exceeded 2000 results \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql in 2001, largely due to the start of the Halvorsen loader program for the U.S. \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql Air Force. This new program should provide us with a profitable 2002 as we ramp \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql up production. \par\pard\plain\fs16 \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql Considering the economic conditions we faced, it was a very solid year. \par\pard\plain\fs16 \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql Last year was also a strong year for cash generation. In 2001, we generated \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql $55 million of cash to repay debt. Our debt, net of cash, at the end of 2001, \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql was $245 million, down from $300 million at the beginning of 2001. \par\pard\plain\fs16 \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql During the first quarter of 2002 we have built working capital, in-line \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql with the strong growth we are seeing in our subsea business. Consequently, our \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql debt, net of cash, at the end \par\pard\plain\fs16 \par\pard\plain\fs16 \par\pard\plain\fs16 \page \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql of the first quarter 2002, is a little higher at $259 million. However, we \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql anticipate generating cash flow in excess of working capital and capital \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql spending needs this year, and expect to further reduce our debt by year-end \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql 2002. \par\pard\plain\fs16 \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql As you heard from Joe, FMC Technologies' earning pattern is somewhat \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql seasonal. Accordingly, we had a low first quarter in 2002, similar to last year. \par\pard\plain\fs16 \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql Earnings for the first quarter were $0.08 per share, which excluded a \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql one-time, non-cash charge of $194 million, after tax, to reflect the \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql implementation of a new accounting standard, FAS 142. Our Energy Production \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql Systems business delivered outstanding results in the first quarter and \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql increased its backlog - in fact - every business except airport systems \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql increased backlog. \par\pard\plain\fs16 \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql Additionally, FoodTech produced higher results on lower sales as cost \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql reduction efforts began to bear fruit. We expect solid gains in \par\pard\plain\fs16 \par\pard\plain\fs16 \page \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql FoodTech this year. Both of these improvements overcame the large reduction in \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql Airport Systems, which has been impacted by the airline slowdown since September \par\pard\plain\fs16\pard\plain\cf1\f50\fs16\ql 11.
